Member Agreement

Agreement between the named Applicant (hereinafter “APPLICANT”) and ODO Sdn Bhd, effective under the terms and conditions below:

  1. APPLICANT hereby applies for authorization as a Distributor in ODO’s Network Marketing Programme. APPLICANT is provisionally authorized as a Distributor and granted the rights to sell ODO products. ODO reserves the right to accept or reject any application for any reason. In accordance with the terms and conditions set forth in the ODO Policies and Procedures, as such now exits or may hereafter be amended.
  2. APPLICANT has read and agrees to be bound by the terms of this Agreement, ODO Compensation Plan, Policies and Procedures, and all of which are incorporated herein by reference and made a part hereof for all purposes. ODO reserves the right to change the Compensation Plan and the Policies in its sole discretion, and APPLICANT agrees to be bound by such charges.
  3. APPLICANT is an independent distributor under the terms of this Agreement, and not an agent, employer, or legal representatives or his/her sponsor or ODO and will in no way represent him/herself as such. As such, APPLICANT is responsible for all applicable income, license or fee arising out of APPLICANT’s activities hereunder.
  4. APPLICANT will not produce, promote, or use materials of any kind describing ODO’s names, programmes, products, and trademarked, copyrighted or otherwise, protected materials except as permitted in ODO’s policies.

  6. APPLICANT agrees that Compensation is only paid for sales of product to Customer and end users as defines in the Policies and in the Company’s Cellular Compensation Plan.
  7. You may not sell, assign or transfer your Distributorship to any person or entity without ODO’s express written permission. Any sale or assignment of this Agreement or Distributor authorization must be approved of all writing by ODO.
  8. The undersigned hereby acknowledges that he/she is of legal age and authorized to blind APPLICANT to each of the terms set forth herein and to the terms of the Policies and Procedures.
  9. Venue and jurisdiction for any action pertaining to this Agreement or any disagreement or claim between the parties hereto shall be in Malaysia. This agreement shall be Governed by the laws of Malaysia, unless the laws of your jurisdiction expressly require the application of its laws.
  10. In case of any dispute between the parties, this document in English shall prevail as a basic for the interpretation of the intention of the parties.
  11. This Agreement is subject to a cooling-off period of 10 working days commencing on the date of this Agreement, within which the APPLICANT shall have the right rescind this Agreement by serving written notice to ODO. Should this Agreement be rescinded within the cooling-off period, ODO shall refund all payments made under this Agreement to the APPLICANT if any. Save where the APPLICANT has requested for delivery in respect of a product. Order before the expiry of the cooling-off period, the APPLICANT would be deemed to have waived his/her right to rescind this Agreement. Notwithstanding the right of the APPLICANT to terminate this Agreement during the cooling-off period. A Distributor may cancel his/her Distributorship elects to cancel his/her Distributorship, ODO will refund the fund price of his/her product order(s) and/or Starter Kit in accordance with its policies.
  12. ODO reserves the right to cancel any Distributorship for cause as such defined in the Policies.
  13. No purchase or investment is necessary to become an Independent Distributor other than the purchase of a Beginner package, which is sold at company cost. Purchasing the Starter Kit is mandatory.
  14. Regarding other multilevel marketing ventures, but you may not sell or promote to other ODO Distributors similar or competitive products or services or any other multilevel Marketing opportunity.
  15. ODO Genealogy Reports are confidential and proprietary business trade secrets. You may not use the reports for any purpose other than to develop your ODO business. Specifically, you must not disclose any information contained in the reports to a third party or use the reports to compete with ODO or to recruits or solicit other Distributors to participate in other multilevel marketing ventures.
  16. ODO’s failure to exercise any rights as set forth in this agreement or to insist on. Your strict compliance with the terms and conditions of this agreement and the Policies & Procedures does not constitute a waiver of ODO’s right to require a compliance therewith.
  17. Any subsequent default or the rights which might arise from a Distributor’s default do not affect the company’s rights concerning the default or any subsequent default.
  18. ODO reserves the right to cancel any Distributorship at any time for cause if the Distributor violates the terms and conditions of this Agreement or the provisions of this Agreement or the provisions of the Policies & Procedures and Compensation Plan.
  19. ODO reserves the right to revise or amend the Policies & Procedures and the Compensation Plan.
  20. You must pay all required taxes on any income you earn as an Independent Distributor, unless your quality with your taxing authority for income tax exempt status.
  21. In order for you to qualify for commission, you must
    • Sell to customers or end users a minimum of 70% of your product orders; and
    • Provide your retail customers with an official ODO retain receipt which specifies date of sale, amount of sale, item(s) purchased, and you must retain all sales receipts for two years.
    • Maintain monthly sales performance (PV/BV) according to ODO Compensation Plan, the Company reserves the right to terminate the qualification for failure to meet minimum sales.
  22. Specific ODO product names as well as the corporate name and logo are the exclusive property of ODO. You may not use ODO’s product names, the corporate name or logo to promote your independent business. Any distributors who violate any for the above written, ODO preserve the right to pursue legal actions.
  23. ODO does not permit you to purchase unreasonable amounts of products solely for the purpose of qualifying for commissions, bonuses, or advancement in the Cellular Compensation Plan. Unless you can justify the need for a greater amount if inventory.
  24. You have the right to cancel your Distributorship Agreement at any time and for any reason. If you choose to cancel your Distributorship Agreement, simply notify ODO in writing. All other returns or exchange shall be processed in accordance with ODO’s policies. All cancellation is subject to ODO’s approval.
